1: Introduction and agreement

  1. Welcome to GetReplies: This Terms of Service document (“Terms”) is a legally binding contract between you (the “User”) and LIFEX Technologies India Private Limited (“GetReplies,” “we,” “us,” or “our”). It governs your access to and use of the GetReplies agentic AI platform and all related services (collectively, the “Service”). 

  2. Binding Agreement: By creating an account, logging in, or using the Service in any way, you confirm that you have read, understood, and unconditionally agree to be bound by these Terms. Each time you log in, you reaffirm your acceptance of the then-current version of these Terms and all other legal policies available on our website. If you do not agree with any part of these Terms, you must immediately stop using the Service. 

  3. Corporate Authority: If you are using the Service on behalf of a company, organization, or another legal entity, you represent and warrant that you have the full legal authority to bind that entity to these Terms. In this case, “User” and “you” refer to that entity. 

2: The GetReplies service

  1. Service Description: GetReplies is a business-to-business (B2B) Software-as-a-Service (SaaS) platform that provides AI agents to design, execute, and manage full-funnel marketing campaigns across multiple channels. 

  2. License Grant: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes only, strictly in accordance with these Terms and your subscription plan. 

  3. Service Modifications: We reserve the right to modify, update, or discontinue the Service, or any features within the Service, at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. 

3: User accounts and conduct

  1. Account Registration: You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the accuracy of this information. 

  2. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. 

  3. Acceptable Use: You agree not to use the Service for any of the following purposes: 
    1. Violate Laws: Engage in any activity that is illegal, fraudulent, or violates any applicable local, state, national, or international law or regulation. 
    2. Send Spam: Distribute unsolicited or unauthorized advertising, promotional materials, or any other form of duplicative or unsolicited messages. 
    3. Infringe Rights: Violate, misappropriate, or infringe upon the intellectual property, privacy, or other rights of any third party. 
    4. Harm Systems: Transmit any virus, malware, or other malicious code. 
    5. Reverse Engineer: Attempt to decompile, reverse engineer, or otherwise derive the source code of the Service. 

4: User's compliance responsibilities

  1. Sole Accountability: You are solely and entirely responsible for your use of the Service and for all data you upload, process, or distribute through it (“User Content”). This includes all contact lists, prospect data, and campaign materials. 

  2. Global Legal Compliance: You are exclusively responsible for ensuring that your use of the Service complies with all laws and regulations in every jurisdiction where you operate and where your contacts are located. This includes data protection laws (like DPDPA, GDPR, CCPA), anti-spam laws, and international trade laws. 

  3. Lawful Basis for Data: You represent and warrant that you have a valid and legally sufficient lawful basis (such as unambiguous consent) for collecting, processing, and using all User Content through our Service. 

5: Fees, payment, and subscription

  1. Subscription Fees: You agree to pay all applicable fees for your chosen subscription plan as specified at the time of purchase. All fees are quoted in United States Dollars unless otherwise stated. 

  2. Billing and Payment: Subscription fees are billed in advance on a recurring basis. You authorize us and our third-party payment processors (such as Stripe, Razorpay, or others) to charge your chosen payment method for all applicable fees. 

  3. No Refunds: All payments are final, non-cancellable, and non-refundable, as detailed in our Refund Policy. 

  4. Late Payments: If any fees are not received by the due date, we may suspend your access to the Service until the payment is made in full. 

6: Intellectual property and confidentiality

  1. Our Intellectual Property: We own and retain all rights, title, and interest in and to the Service, including all underlying software, technology, and proprietary content.

     

  2. Your User Content: You own and retain all rights to your User Content.

     

  3. License to Us for Model Training: You grant LIFEX Technologies India Private Limited a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use any and all User Content to train, develop, and improve our proprietary artificial intelligence models and the Service. This right survives the termination of your account.

     

  4. Feedback: If you provide us with feedback, you agree that we can use it for any purpose without compensation to you.

     

  5. Confidentiality: Both parties agree to maintain the confidentiality of any proprietary information received from the other party. 

7: Disclaimers and limitation of liability

  1. “AS IS” Service: The Service is provided on an “as is” and “as available” basis. We disclaim all warranties of any kind, whether express or implied, including warranties of merchantability and fitness for a particular purpose.

     

  2. No Guarantee of Performance: We do not warrant that the Service will be uninterrupted, secure, or error-free.

     

  3. Exclusion of Indirect Damages: In no event will LIFEX Technologies India Private Limited be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

     

  4. Strict Cap on Liability: Our total aggregate liability for any and all claims arising out of or related to these Terms or the Service is strictly limited to the total amount of subscription fees paid by you to us during the three (3) months immediately preceding the event that gave rise to the claim. 

8: Indemnification

Your Obligation to Us: You agree to indemnify, defend, and hold harmless LIFEX Technologies India Private Limited from and against any and all claims, liabilities, damages, and costs (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms. 

9: Governing law and dispute resolution

  1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India. 

  2. Exclusive Jurisdiction: You agree that any legal proceedings or disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, India. 

10: Term and termination

  1. Term: These Terms will remain in effect as long as you use the Service. 

  2. Termination by You: You may terminate your account at any time. 

  3. Termination by Us: We reserve the right to suspend or terminate your account at our sole discretion, without notice, for any reason, including a violation of these Terms. 

  4. Effect of Termination: Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) will remain in effect. 

11: General provisions

  1. Changes to Terms: We reserve the right to modify these Terms at any time. It is your sole responsibility to review the latest version on our website. Your continued use of the Service after changes constitutes your acceptance of the new Terms. 

  2. Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and Shipment Policy, constitute the entire agreement between you and GetReplies. 

  3. Severability: If any provision of these Terms is held to be invalid, the remaining provisions will remain in full force and effect.
